3. Service Agreements

3.1 Quotations and Proposals

All quotations and proposals are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on material costs, project scope modifications, and market conditions.

3.2 Project Scope

The scope of work will be clearly defined in the project agreement. Any changes or additions to the scope must be agreed upon in writing and may result in additional charges.

3.3 Timeline

Project timelines are estimates and may be subject to change due to unforeseen circumstances, material availability, weather conditions, or client-requested modifications.

4. Payment Terms

4.1 Payment Schedule

Payment terms will be specified in the project agreement. Typical payment schedules include:

• Advance payment: 30-50% upon project commencement
• Progress payments: As per project milestones
• Final payment: Upon project completion and client acceptance

4.2 Late Payments

Late payments may incur interest charges and may result in suspension of work until payment is received.

4.3 Taxes

All prices are exclusive of applicable taxes (GST, etc.) unless otherwise stated. Taxes will be added to the final invoice.

5. Client Responsibilities

Clients are responsible for:

• Providing accurate project requirements and specifications
• Ensuring site access and necessary permissions
• Providing required utilities (power, water, etc.) at the work site
• Obtaining necessary permits and approvals
• Timely review and approval of project deliverables
• Making payments as per the agreed schedule

6. Warranties and Guarantees

6.1 Workmanship Warranty

We provide a warranty on our workmanship as specified in the project agreement. The warranty period typically ranges from 6 months to 1 year, depending on the type of service.

6.2 Product Warranties

Products and materials supplied are covered by manufacturer warranties. We will assist in warranty claims but are not responsible for manufacturer defects.

6.3 Warranty Exclusions

Warranties do not cover damage caused by:

• Misuse, abuse, or negligence
• Unauthorized modifications or repairs
• Natural disasters or acts of God
• Normal wear and tear
• Failure to follow maintenance recommendations

7. Limitation of Liability

To the maximum extent permitted by law, RD Electronics shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Damages exceeding the total project value

8. Cancellation and Termination

8.1 Client Cancellation

Clients may cancel projects with written notice. Cancellation charges will apply based on work completed and materials procured.

8.2 Our Right to Terminate

We reserve the right to terminate services for non-payment, breach of terms, or if project conditions become unsafe.

9. Intellectual Property

All designs, drawings, specifications, and documentation created by RD Electronics remain our intellectual property unless otherwise agreed in writing. Clients receive a license to use these materials for the specific project only.

10. Confidentiality

We maintain confidentiality of client information and project details. However, we reserve the right to use project information for portfolio purposes and marketing materials unless specifically restricted by agreement.

11. Safety and Compliance

We adhere to all applicable safety standards and regulations. All installations comply with relevant electrical codes, building regulations, and industry standards.

12. Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, labor disputes, or material shortages.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through:

• Good faith negotiations between parties
• Mediation, if negotiations fail
• Arbitration or legal proceedings in Samastipur, Bihar jurisdiction

14. Governing Law

These Terms and Conditions are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of courts in Samastipur, Bihar.
